Thoreau Bartmann is Assistant Chief Counsel of the Division of Investment Management at the U.S. Securities and Exchange Commission, where he leads a team that provides legal guidance on all aspects of the Investment Company and Advisers’ Acts, including their application to novel structures like digital assets and crypto entities. Prior to taking on this role he was Branch Chief and then Senior Special Counsel in the SEC’s Investment Company and Adviser’s Rulemaking Offices. During his tenure at the SEC, Thoreau has been involved in all aspects of asset management regulation, leading a variety of policymaking initiatives. This includes acting as team lead for the modernization of the regulation of investment adviser marketing, fund fair valuation, and fund liquidity. He also managed the effort that led to the adoption of structural reforms to the $3 trillion money market fund industry. Prior to the SEC, Thoreau was a securities enforcement associate at the law firm Fried, Frank, Harris, Shriver and Jacobson where he provided advice to private funds on issues related to late trading and market timing. Thoreau earned his J.D. from the University of North Carolina, Chapel Hill, and B.A from the University of Alabama, Birmingham.
